Note: As a business buyer, you will most likely be working with ProForma West in one of two ways. You may be a customer reviewing one of our Client companies we are representing for sale, or working with us as a Client whom we represent exclusively in a transaction. When you retain ProForma West as your representative—your agent—you will have signed a “Buyer Agency” agreement with us, and we will solely represent your interests in the transactions covered by the Agreement. ProForma West and its agents cannot be a Buyer’s Agent for any business we represent for sale.


Buying a Business from ProForma West

You sign a Non-Disclosure and Confidentiality Agreement, a Seller Agency Disclosure and complete a Confidential Investor Profile. These forms are available in the right hand column. If faxing, please write either the name of the intermediary or the name of the business you are inquiring about on the forms.

Purchaser pre-qualification for experience and finances

Step 3  
A one-page overview or comprehensive Confidential Business Review is provided that previews the opportunity

Step 4  
A showing of the business and initial meeting with our Client is arranged

Exchange of information

Preparation and presentation of offer

Negotiations and meetings with lawyer, accountant, and Seller

Contract for Sale and Purchase, tendering of Earnest Money Deposit

  • Full Scope Business Valuation
  • Comprehensive Business Valuation
  • Middle-Market Business Valuation

Depending on the complexity of the business being acquired, a Limited or Full Scope valuation is usually adequate for most buyers for acquisition targets up to $20 million in annual revenue.
